Terms of Service

Please read these Terms of Service ("Terms") carefully before using the onautumn.com website or the Autumn platform.

"Autumn," "us," "we," and "our" mean Papasan, LLC, doing business as Autumn. "You" and "your" mean you as a user of the Website or the Services and, if you use the Services for an organization, that organization.

"Website" means onautumn.com. "Services" means Autumn's online software-as-a-service platform and services, including any related APIs provided by Autumn and all related applications.

Your access to and use of the Website and Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use them. By accessing or using the Website or Services you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access them.

001 Restrictions on Your Use

You may not do any of the following, unless applicable laws or regulations prohibit these restrictions, or you have our express written permission:

  • duplicate, decompile, reverse engineer, disassemble or decode the Website or Services (including any underlying idea or algorithm), or attempt to do so;

  • access or use them in any manner that could disable, overburden, damage, disrupt or impair them, or interfere with anyone else's access to or use of them, or use any device, software or routine that does so;

  • attempt to gain unauthorized access to, interfere with, damage or disrupt them, accounts registered to other users, or the computer systems or networks connected to them;

  • circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protection;

  • use any robot, spider, crawler or other automatic device, process, software or query that intercepts, mines, scrapes or otherwise accesses them to monitor, extract, copy or collect information or data, or engage in any manual process to do the same;

  • introduce any viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful material;

  • use them for illegal, harassing, unethical or disruptive purposes;

  • violate any applicable law or regulation in connection with your access to or use of them;

  • access or use them from any country or region subject to a comprehensive U.S. embargo; or

  • access or use them in any way not expressly permitted by these Terms.

002 Account

You are responsible for maintaining the confidentiality of your account and password, including restricting access to your computer and account. Sharing your login or password is prohibited. You accept responsibility for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use the Website or Services if you are under 13. By using them, you represent and warrant that you are 13 or older.

003 Your Content

You keep ownership of the content you and your organization create or upload in the Services ("Your Content"). You give us permission to host, store, copy, process, display and publish Your Content only as needed to provide the Services to you, including publishing the websites and stories you choose to publish.

You are responsible for Your Content and for having the rights to use it. You must not use the Services to publish content that is unlawful, infringes anyone's rights, or is deceptive or harmful.

If you collect information from visitors through the Services, for example through forms, you are responsible for telling them how you use it, for having a lawful basis to collect it, and for responding to their requests about it.

004 AI Features

Some features use AI models to generate or edit content. AI output can be inaccurate or unsuitable. Review it before you publish it; you are responsible for what you publish. Content you submit to these features is sent to our AI model providers to produce the result, as described in our Privacy Policy.

005 Communications from Autumn

We send you transactional and administrative messages related to your account and the Services, such as sign-in codes, invitations and booking notices.

006 Intellectual Property

The Website and Services, and their features and functionality, excluding Your Content, are and will remain the exclusive property of Autumn and its licensors. They are protected by copyright, trademark and other laws of the United States and other countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

007 Feedback

We welcome feedback, comments and suggestions for improvements to the Website and Services ("Feedback"). You agree that giving Feedback does not give you any right, title or interest in the Website, the Services or the Feedback. All Feedback becomes the sole and exclusive property of Autumn, and Autumn may use and disclose it in any manner and for any purpose without further notice or compensation to you, and without you keeping any proprietary or other right or claim. You assign to Autumn all right, title and interest (including any patent, copyright, trade secret, trademark, show-how, know-how, moral rights and any other intellectual property right) you may have in any Feedback.

008 Termination

We may terminate or suspend your account and bar access to the Website and Services immediately, without prior notice or liability, at our sole discretion, for any reason, including a breach of these Terms.

009 Indemnification

You agree to defend, indemnify and hold harmless Autumn and its licensees and licensors, and their employees, contractors and owners, from and against all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) resulting from or arising out of (a) your use of and access to the Website or Services, by you or anyone using your account and password; (b) a breach of these Terms; or (c) Your Content.

010 Limitation of Liability

IN NO EVENT SHALL AUTUMN, NOR ITS DIRECTORS, EMPLOYEES, CONTRACTORS OR AFFILIATES, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

011 Disclaimer

YOUR USE OF THE WEBSITE AND SERVICES IS AT YOUR SOLE RISK. THEY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE OF PERFORMANCE. AUTUMN, ITS SUBSIDIARIES, AFFILIATES AND LICENSORS DO NOT WARRANT THAT (A) THE WEBSITE OR SERVICES WILL FUNCTION UNINTERRUPTED, SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (C) THE RESULTS OF USING THEM WILL MEET YOUR REQUIREMENTS.

012 Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use the Website or Services after any revisions take effect, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use them.

013 Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Website or the Services will be brought only in the state or federal courts located in Baltimore, Maryland, and you and we consent to the jurisdiction of those courts.

014 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Autumn regarding the Website and Services and supersede any prior agreements between us about them.

015 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.
